Terms & Conditions and License Agreement
Nexerius Merge
Effective from: 21 June 2026
1. Introduction and parties
These Terms & Conditions and license agreement (the „Terms“) govern the rights and obligations relating to the license for the software application Nexerius Merge (the „Software“).
The provider and author of the Software is Nexerius s.r.o., Company ID (IČO): 23007907, registered office Tovární 145, 431 86 Kovářská, Czech Republic, registered with the Regional Court in Ústí nad Labem, section C, file 53628 (the „Provider“). Contact: info@nexerius.cz.
The Software is a desktop application for bulk generation of PDF documents from a PDF template and data from CSV or Excel, and for merging several PDF files into one resulting PDF. The Software runs locally on the user’s device.
2. Ordering, payment and invoicing
The license is provided and sold directly by the Provider (Nexerius s.r.o.). Ordering is individual: the customer expresses interest by e-mail at info@nexerius.cz, the Provider sends a quote and an invoice, and after it is paid (typically by bank transfer) issues and sends the license key.
The tax invoice is issued by the Provider. The price and any value added tax are stated on the invoice in accordance with applicable tax law. Payment or invoice queries may be directed to info@nexerius.cz.
3. Scope of the license
Upon payment, the customer obtains a non-exclusive, non-transferable, time-limited license to use the Software for their own needs (personal or within their organization).
- Validity period: the license is annual, i.e. valid for 12 months (365 days) from issuance of the license key.
- Number of activations: the license may be activated on a limited number of devices (by default on 3 devices, unless stated otherwise for a specific offer). A device activation can be released and moved to another device.
- Features: the license unlocks bulk PDF generation, profiles, batch export and separate PDF file merging.
After payment the customer receives a license key by e-mail. The key is entered in the application under Settings → License and activated. Once the validity period ends, the license can be renewed by purchasing a new one.
4. Usage restrictions
The customer must not, in particular:
- resell, rent, lend or otherwise commercially transfer the license or license key to third parties,
- share the license key beyond the permitted number of activations,
- reverse engineer, decompile or circumvent the Software’s license protection mechanisms, unless expressly permitted by law,
- use the Software in breach of applicable laws.
In the event of a material breach of these restrictions, the Provider may revoke the license without a refund. Copyright in the Software belongs to the Provider; the license does not transfer ownership of the Software.
5. Right of withdrawal (consumers) and consent to immediate delivery
If the customer is a consumer, they generally have the right to withdraw from a distance contract within 14 days. The Software is, however, digital content supplied online (the license key is delivered immediately after payment).
If the customer requests delivery of the license key immediately (i.e. before the expiry of the 14-day period), they thereby give their express consent to the supply of digital content before the expiry of the withdrawal period and acknowledge that they lose the right of withdrawal (in line with the EU Consumer Rights Directive and § 1837(l) of the Czech Civil Code).
Notwithstanding the above, the Provider may, by agreement, grant a refund (e.g. if the key has not been activated); any such refund is voluntary.
6. Key delivery and support
After the payment is received, the Provider sends the license key by e-mail to the address given in the order. If the e-mail does not arrive (e.g. spam filter, typo in the address), contact info@nexerius.cz – after verifying the payment we will re-send the key.
Technical support and questions about the Software are provided by e-mail.
7. Warranty and limitation of liability
The Software is provided „as is“. The Provider makes reasonable efforts for the Software to work as described but does not warrant error-free or uninterrupted operation or fitness for any particular purpose.
The Provider is not liable for indirect or consequential damages (e.g. lost profit, data loss) arising from the use of or inability to use the Software. The Provider’s total liability is, unless the law provides otherwise, limited to the amount paid for the license in connection with which the damage arose. This limitation does not apply in cases of intent or gross negligence. Statutory consumer rights from defective performance are not affected.
The customer is responsible for backing up their own data and templates. The Software processes data locally and does not transmit any document data.
8. Personal data protection
Information about the processing of personal data is set out in the Privacy Policy.
9. Governing law and dispute resolution
The relationship between the Provider and the customer is governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll., the Civil Code. This does not affect consumer protection under the law of the consumer’s country of habitual residence.
A consumer has the right to out-of-court dispute resolution via the Czech Trade Inspection Authority (www.coi.cz) or via the EU ODR platform (https://ec.europa.eu/consumers/odr).
10. Final provisions
The Provider may reasonably amend these Terms; licenses already purchased are governed by the version in effect at the time of purchase. If any provision is invalid, the remaining provisions stay in force.
